A company is an artificial judicial person created by law, it can only act through the agency of natural persons. Thus, only living persons can be Directors of a Company. a body corporate can be member of company but cannot be Director of the Company .
Types of Director in a Company:
a. Managing Director:- Managing Director is director who has been appointed by virtue of AOA or a agreement with the company or by passing a resolution in AGM of company .
b. Executive Director:- Executive Director of the company is a Director who is actively involve in day to day activities of the company and managing affair of the company .
c. Additional Director: At any time by passing a board of Director may appoint Additional director who shall hold office upto the date of next AGM or which AGM should have to held , which ever earlier.
d. Alternate Director: Board of Director of the company if so authorized by AOA or by passing a resolution in AGM appoint a person to act as an alternate director during the absence of a original director for a period of not less than 3 months from India. Such Director shall vacate office when the director in whose place he has been appointed returns to India.
